Terms for using Control Axis Systems.

These Terms govern the public website and the Control Axis business software platform, including accounts, company workspaces, subscriptions, integrations, and support.

1. Acceptance and authority

These Terms of Service (“Terms”) are an agreement between Control Axis Systems (“Control Axis,” “we,” “us,” or “our”) and the person or organization that accesses or uses the Services (“Customer,” “you,” or “your”). “Services” means our public website, account and onboarding services, and the Control Axis CRM, Estimator, Scan, Finance, Customer Portal, billing, support, and integration features.

By accessing or using the Services, creating an account, accepting an order form, or authorizing a subscription, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to accept these Terms for that organization. If you do not agree, do not use the Services.

An order form, checkout page, subscription confirmation, data-processing agreement, or other written agreement accepted by Control Axis and the Customer may include additional terms. If an accepted written agreement directly conflicts with these Terms, the more specific accepted written agreement controls for that subject.

2. The Services

Control Axis provides configurable business operations software. Available products and features may include:

  • Control Axis CRM: customer and prospect records, jobs, schedules, communications, employees, estimates, invoices, documents, integrations, administration, and Customer Portal features;
  • Control Axis Estimator: service catalogs, price books, measurements, calculations, proposals, approvals, and estimate workflows;
  • Control Axis Scan: inventory, equipment, QR activity, purchase orders, counts, and field tracking;
  • Control Axis Finance: CRM-connected operational finance views, receivables, purchasing, transactions, reporting, forecasting, and exports; and
  • Connected services: account administration, subscription billing, customer access, communications, automations, and tenant-authorized third-party integrations.

CRM, Estimator, and Scan may be offered separately. Finance requires an active CRM entitlement. Product availability, included features, user limits, pricing, and prerequisites are determined by the plan or order accepted by the Customer.

We may update, improve, replace, or discontinue features. We will use reasonable efforts to communicate material changes that substantially affect an active paid plan. Beta, preview, evaluation, or launching-soon features may change or be unavailable and should not be relied on for critical operations unless expressly included in an accepted written commitment.

3. Accounts, company workspaces, and users

A company workspace is the tenant boundary for the Customer’s users, records, configuration, subscriptions, and connected business accounts. Customers must use their assigned workspace and must not attempt to access another tenant’s workspace or data.

The Customer is responsible for:

  • providing accurate account, company, contact, and billing information;
  • designating authorized owners and administrators;
  • inviting individual users, assigning appropriate roles, and promptly removing access after a role change or separation;
  • protecting passwords, multifactor-authentication methods, recovery codes, devices, and connected-provider accounts;
  • all activity performed through its accounts unless caused by Control Axis’ failure to apply its own access controls; and
  • notifying us promptly of suspected unauthorized access or account compromise.

Employee accounts must not be shared. Customer Portal accounts are separate from employee accounts and are limited to the customer-facing records and actions made available through the applicable tenant workspace.

4. Customer data and instructions

“Customer Data” means information, files, content, records, and connected-account data submitted to or processed through a Customer workspace. As between the parties, the Customer retains its rights in Customer Data. The Customer grants Control Axis and its service providers a limited right to host, copy, transmit, display, modify, and otherwise process Customer Data only as reasonably needed to provide, secure, support, and improve the Services, comply with Customer instructions, and meet legal obligations.

The Customer is responsible for the accuracy, quality, legality, and permitted use of Customer Data, including providing required notices and obtaining necessary permissions from employees, customers, and other individuals. The Customer must not direct Control Axis to process data or perform an action that violates law, third-party rights, provider terms, or these Terms.

The Customer must not place passwords, bank-login credentials, API secrets, private keys, recovery codes, or full payment-card information in notes, documents, messages, or other ordinary business-record fields. The Customer must not use the Services for categories of regulated or highly sensitive information unless Control Axis has expressly agreed in writing that the applicable product and configuration support that use.

5. Third-party services, OAuth, and integrations

The Services may allow a Customer administrator to connect third-party business accounts, including Google Workspace, Microsoft 365, Square, Plaid, Twilio, Gusto, email, calendar, document, payment, and banking providers. The Customer chooses whether to connect a provider and is responsible for selecting the correct company-controlled account, reviewing requested permissions, complying with the provider’s terms, and disconnecting access when no longer needed.

Control Axis platform application credentials remain under Control Axis administration. A tenant authorizes only its own provider account. Tenants must not request, receive, or enter Control Axis platform client secrets and must not place provider access tokens or secrets in ordinary records or support messages.

When Google sign-in is used, Control Axis requests basic identity information to authenticate an existing authorized user. When a tenant administrator connects Google Workspace, Control Axis may request the permissions shown on Google’s authorization screen to support selected Gmail, Calendar, Sheets, Drive, Docs, and Forms workflows. The Google services section of our Privacy Notice describes this access and how to disconnect it.

Third-party services are operated by their respective providers. Their availability, data handling, changes, fees, and actions are governed by their own terms. Control Axis is not responsible for a third-party service’s independent acts or omissions. We may disable an integration if it creates a security risk, violates provider requirements, is no longer supported, or is unavailable.

6. Trials, subscriptions, billing, and taxes

Trials

When offered, the standard Control Axis trial provides one 14-day trial period for the eligible account or company workspace across the core ecosystem. Activating another app does not restart or extend the trial. A trial may be limited or ended if duplicate accounts, false information, or other activity is used to avoid trial restrictions. Unless a checkout or accepted order expressly states otherwise, no credit card is required to begin the standard trial. When the trial ends, access may pause until the Customer activates an eligible paid plan.

Subscriptions and payment

Current plans and prices are displayed on the Pricing page, checkout, or accepted order form. The accepted checkout or order controls the selected products, price, billing period, included users, discounts, taxes, renewal terms, and any implementation scope. If the accepted order provides for recurring billing, the Customer authorizes recurring charges through the listed payment provider until the subscription is canceled or changed under the applicable order and provider flow.

Control Axis subscription payments are processed through Square unless another provider is identified at checkout. Tenant customer payments collected through a tenant’s own connected Square merchant account are separate from Control Axis subscription charges.

The Customer must keep billing information current and is responsible for applicable taxes, except taxes imposed on Control Axis’ net income. Failed or overdue payment may result in restricted or paused access. The Customer should contact us promptly about a duplicate, failed, or disputed charge and should provide only the receipt or transaction details needed to investigate—never a full card number or card verification code.

Plan changes, cancellation, and refunds

Plan changes, cancellation effective dates, credits, refunds, discounts, founder pricing, and post-cancellation access are governed by the terms shown at checkout or in the Customer’s accepted order. Removing CRM also removes eligibility for Finance. A promotional or founder rate may depend on continued eligibility and a continuously active subscription when stated in the offer.

7. Acceptable use

You may use the Services only for lawful business purposes and within your authorized workspace and plan. You must not:

  • access or attempt to access another tenant, user account, system, data set, or provider connection without authorization;
  • probe, scan, bypass, disable, or interfere with authentication, authorization, rate limits, audit controls, network restrictions, or security features;
  • introduce malware, harmful code, deceptive content, or material that infringes another person’s rights;
  • use the Services to send unlawful, deceptive, abusive, or unsolicited communications or disregard consent, opt-out, or suppression requirements;
  • copy, reverse engineer, resell, sublicense, or provide the Services to others except as expressly permitted by an accepted plan or written agreement;
  • use automated access, agents, or integrations beyond the permissions and scopes approved for that workflow;
  • use the Services to develop or benchmark a competing product without written permission; or
  • use the Services in a way that could harm the platform, other tenants, providers, or users.

We may investigate suspected misuse and take proportionate steps to protect the Services, users, providers, and data.

8. Automations, estimates, finance views, and assisted output

The Services may calculate estimates, trigger workflows, prepare content, summarize records, suggest actions, or provide forecasts and operational guidance. These features depend on Customer Data, configured rules, third-party services, and user choices. The Customer is responsible for reviewing output, approving high-impact actions, confirming recipients and amounts, and determining whether a result is appropriate for the Customer’s business.

Estimates and forecasts are not guaranteed outcomes. Finance features are operational tools and do not provide accounting, tax, investment, or legal advice. Customers should use qualified professionals for advice requiring professional judgment.

Agent or automation credentials must be limited to the minimum necessary scope. Deletion, payment changes, access changes, mass communications, exports, and integration administration require explicit authorization and should not be delegated without documented controls.

9. Support, maintenance, and service changes

Support is available through the contact methods published on the website or in an accepted order. To help us investigate, provide your company name, product, device or browser, time of the issue, and the exact message shown. Do not send secrets or complete financial credentials.

The Services may be unavailable during maintenance, updates, provider outages, network events, security work, or circumstances outside our reasonable control. Unless an accepted written agreement includes a specific service-level commitment, the Services are provided without a guaranteed uptime or response-time commitment.

10. Suspension and termination

We may restrict or suspend access when reasonably necessary to address nonpayment, expired trial or entitlement, security risk, suspected compromise, unlawful activity, material misuse, provider requirements, or a material breach of these Terms. When practical, we will provide notice and an opportunity to correct the issue, but immediate action may be necessary to protect users, data, providers, or the Services.

The Customer may stop using the Services and may cancel according to the applicable checkout, order form, or account process. After termination, access and data handling are governed by the accepted order, the Privacy Notice, applicable retention obligations, and available export or deletion procedures. Suspension or termination does not eliminate charges or obligations already incurred.

Sections that by their nature should continue—including payment obligations, ownership, confidentiality, disclaimers, limitations, indemnity, and general terms—survive termination.

11. Ownership and feedback

Control Axis and its licensors retain all rights in the Services, including software, designs, documentation, branding, configuration methods, and related intellectual property. Except for the limited right to use the Services under an active plan, no ownership right is transferred to the Customer.

If you provide feedback or suggestions, you grant Control Axis permission to use them without restriction or compensation, provided that we do not identify you publicly as the source without permission.

12. Confidentiality

Each party may receive nonpublic business, technical, security, pricing, or operational information from the other. The receiving party will use reasonable care to protect that information and will use it only for the relationship, except for information that is public through no fault of the receiving party, was already lawfully known, is independently developed, is received lawfully from another source, or must be disclosed by law.

Nothing in this section changes the Customer’s responsibility to avoid placing credentials, secrets, or unsupported sensitive data into ordinary application fields or communications.

13. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Control Axis disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that the Services will be uninterrupted, error-free, completely secure, or suitable for every business, regulation, or use case, or that every automation, estimate, forecast, integration, or third-party result will be accurate or available.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

14. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, business opportunity, or data, arising from or related to the Services, even if advised that such harm was possible.

To the maximum extent permitted by law, Control Axis’ total liability arising from or related to the Services will not exceed the amounts the Customer paid to Control Axis for the affected Services during the twelve months before the event giving rise to the claim. This limitation does not apply where liability cannot lawfully be limited.

15. Indemnity

The Customer will defend and indemnify Control Axis and its personnel from third-party claims, damages, and reasonable costs arising from Customer Data, the Customer’s violation of these Terms, the Customer’s unlawful or unauthorized use of the Services, or the Customer’s infringement of another person’s rights. This obligation does not apply to the extent a claim was caused by Control Axis’ own unlawful conduct or breach of these Terms.

16. General terms

  • Notices: We may send operational or legal notices to the account email, through the Services, or by posting an updated notice on the website. Customers must keep contact information current.
  • Assignment: The Customer may not assign these Terms without our written consent. Control Axis may assign these Terms in connection with a merger, financing, acquisition, reorganization, or sale of all or part of the business.
  • Severability: If a provision is unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will remain in effect.
  • No waiver: A failure to enforce a provision is not a waiver of the right to enforce it later.
  • Force majeure: Neither party is responsible for delay or failure caused by events beyond its reasonable control, except that this does not excuse payment obligations already due.
  • Entire agreement: These Terms and any accepted order or incorporated policy are the complete agreement for the Services covered by them and replace prior discussions on the same subject.

17. Changes to these Terms

We may update these Terms as the Services or commercial practices change. The effective date above identifies the current version. For material changes affecting an active paid subscription, we may provide notice through the website, account, product, or email. Continued use after the updated Terms take effect constitutes acceptance to the extent permitted by law. If you do not agree to an update, you must stop using the affected Services and follow the applicable cancellation process.
